Welcome

Welcome to the Forever Jilly 5k website (hereinafter referred to as “the Site”) through which you can learn about the Unique Vacations, Inc.’s (“UVI”, “we”, “our”, “us”) sponsored Forever Jilly 5k run (the “Event”), including, but not limited to, registering to participate in the Event, as well as making donations to The Sylvester Cancer Comprehensive Center. Your use of the Site is subject to these Terms of Use and you will be deemed to have accepted and agreed to be bound by said referenced Terms of Use.

Registration and Participation

Registration for the Event and charitable donations may be processed through third-party providers. UVI is not responsible for the privacy practices, terms, or operation of such third-party services. Registration for the Event is subject to availability and compliance with any eligibility requirements established by UVI. UVI reserves the right to reject, suspend, or cancel any registration in its sole discretion, including where necessary to protect the safety, integrity, or administration of the Event. UVI shall not be responsible for any delay or failure to perform due to causes beyond its reasonable control, including acts of God, severe weather, natural disasters, adverse weather conditions, labor disputes, governmental actions, public health emergencies, telecommunications failures, or internet service disruptions. UVI reserves the right to modify, postpone, reschedule, or cancel the Event, in whole or in part, due to weather, public safety concerns, governmental action, force majeure events, venue issues, or any other circumstances beyond UVI's reasonable control. UVI shall not be liable for any costs, expenses, losses, or damages incurred as a result of such modification, postponement, rescheduling, or cancellation.

Donations

Donations made through the Site are voluntary and, unless otherwise expressly stated, are non-refundable. Donation processing may be handled by third-party providers, and UVI is not responsible for the acts or omissions of such providers.

Changes to These Terms of Use

We may make changes to these Terms of Use from time to time and we may notify you of such changes by posting the revised version of these Terms of Use on the Site. You may

ascertain when the most recent changes to the Terms of Use were made by referring to the “Last Updated” statement above. Your use of the Site following any changes to the Terms of Use will constitute your acceptance of any changes made.

Access to the Site

We reserve the right to restrict your access to the Site or part of it. Access to restricted areas of the Site may be subject to registration and other requisite conditions. If you are granted permission to access a restricted area, we may withdraw that permission at any time (including where you breach any of these Terms of Use).

Site Availability

We will use reasonable efforts to ensure that the Site is available at all times. However, we cannot guarantee that the Site or any individual function or feature of the Site will always be available and/or error free. In particular, the Site may be unavailable during periods when we are implementing upgrades to or carrying out essential maintenance on the Site. We reserve the right, in our sole discretion, to suspend, restrict, terminate, or modify access to the Site at any time and without prior notice.

Intellectual Property

The intellectual property rights in the Site and all of the text, pictures, videos, graphics, logos, and other content made available on it are owned by us and our licensors and are protected by relevant copyright and trademark laws. You may not use any such content (including but not exclusive to publishing, printing, or sharing) without our express written permission. Our trademarks and other brand indicia may not be used in connection with any product or service without our express authorization in writing. All other trademarks not owned by us that appear on this Site are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by us.

Your Use of This Site

Your permission to use the Site is personal to you and non-transferable. Your use of the Site is conditional on your compliance with the rules of conduct set forth in these Terms of Use and you agree that you will not:

  7. Modify, adapt, translate, reverse engineer, decompile or disassemble any portion of the Site;

  11. Use any manual or automatic device in any way to gather Site content or reproduce or circumvent the navigational structure or presentation of the Site without our express prior written consent;

  12. Frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) belonging to us and our associates without expressed written consent; or

  13. Use any meta tags or any other “hidden text” utilizing our name or trademarks without our expressed written consent.

Your use of third-party websites and resources is at your own risk. THE SITE AND ALL CONTENT PROVIDED THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. UVI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Electronic Communication and Indemnity

The Site has features that allow you to communicate with us electronically. By using the Site, you consent to receive communications from us and provide us with information and instructions electronically and indemnify us and otherwise hold us harmless from and against any claims, loss or damage, costs and expenses which may arise as a consequence of the use of such electronic communications. Electronic communications include electronic mail, authorizations, instructions, data and notices posted by you or us to and on the Site. Governing Law

This Terms of Use shall be governed by the laws of the State of Florida. By acknowledging and/or participating in the event, you waive any claims that may arise under the laws of other States, Countries, Territories, and Jurisdictions. Any dispute arising out of or relating to these Terms of Use or the Site shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and each party irrevocably submits to the jurisdiction of such courts.

Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UVI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS OF USE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Entire Agreement; Severability

These Terms of Use, together with any policies referenced herein, constitute the entire agreement between you and UVI regarding your use of the Site. If any provision of these Terms of Use is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any provision of these Terms of Use shall not constitute a waiver of that provision or any other provision.
